1. Definitions

Platform: Refers to the HESED Edusuite School Management Software, a web application.

User: Any individual or entity authorized to access and use the Platform, including:
  • School Owner: The institution registering and subscribing to HESED Edusuite.
  • School Administrator: An individual authorized by the School Owner to manage the school’s HESED account.
  • Teacher: An individual authorized by the School Administrator to use HESED for class, assessments, records, and academic management.
  • Parent: An individual authorized by the School to access their child’s academic information and school updates through HESED.
  • Student: An individual authorized to use specific learning and assessment tools such as CBT, assignments, and class notes.

Content: Any data, information, documents, media, or materials uploaded or submitted by Users to the Platform.

2. Access and Use

2.1 Eligibility

  • School Owners must be legally authorized to represent the institution.
  • School Administrators, Teachers, and Parents must be at least 18 years old.
  • Students must use the Platform under appropriate school or parental guidance.

2.2 Account Creation

  • School Owners create and activate their institution’s account.
  • School Administrators, Teachers, Parents, and Students must create individual user accounts as authorized by the School Owner or Administrator.
  • Users must provide accurate, complete, and up-to-date information.
  • Users are responsible for maintaining the confidentiality of their account credentials.
  • Any unauthorized access or security breach must be reported immediately to the school or HESED Edusuite.

2.3 Acceptable Use

You agree to use the Platform:

  • In compliance with all applicable laws and regulations.
  • In a responsible, ethical, and lawful manner.

You agree NOT to:

  • Misuse the Platform or violate these Terms.
  • Impersonate any person or misrepresent your affiliation.
  • Attempt unauthorized access to any part of the Platform or another User’s account.
  • Upload harmful code, viruses, or malicious software.
  • Use automated scripts, scrapers, bots, or data-harvesting tools without written permission.
  • Interfere with the security, functionality, or performance of the Platform.

3. Content

3.1 User Responsibility

  • Users are solely responsible for the Content they upload or store.
  • Users must ensure they have rights and permissions to use, store, and share their Content through the Platform.

3.2 Company Usage Rights

  • HESED Edusuite does not claim ownership over your Content.
  • You grant HESED a non-exclusive, royalty-free license to process, store, display, and use your Content only to operate, maintain, and improve the Platform.

3.3 Prohibited Content

Users must not upload:

  • Illegal, harmful, or abusive materials.
  • Content that violates intellectual property rights.
  • Content that endangers minors or violates privacy laws.

4. Intellectual Property Rights

All Platform components—including software, interface design, trademarks, logos, content, and documentation—are the exclusive intellectual property of HESED Edusuite.

You may not:

  • Copy, modify, distribute, or create derivative works.
  • Reverse engineer or attempt to extract source code.
  • Republish or resell Platform materials without written permission.

Users are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.

5. Fees and Payment

5.1 Subscription Fees

  • School Owners agree to pay subscription fees according to their selected plan.
  • Parents may incur transaction fees when making payments through integrated payment gateways.

5.2 Payment Methods

HESED offers multiple payment channels, each possibly subject to terms of the external payment providers.

5.3 Refund Policy

  • HESED may offer a free trial to new subscribers.
  • After the trial period, all payments are final, and no refunds will be issued once a subscription fee has been paid.

6. Termination

  • Users may request account termination through HESED support or via their school.
  • HESED reserves the right to suspend or terminate accounts for violations of these Terms.
  • Terms that naturally extend beyond termination (e.g., intellectual property, warranty disclaimers, limitation of liability) shall remain in effect.

7. Limitation of Liability

To the maximum extent permitted by law, HESED Edusuite is not liable for:

  • Loss of profits, revenue, or business opportunities.
  • Loss of data or unauthorized access due to user negligence.
  • Service interruptions, downtime, or performance issues.
  • Damages arising from your inability to access or use the Platform.

Your use of the Platform is at your sole risk.

8. Disclaimer of Warranties

The Platform is provided “AS IS” and “AS AVAILABLE,” without any warranties—express or implied—including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability
  • Error-free or uninterrupted operation

HESED does not guarantee that the Platform will always be secure, virus-free, or fully functional without issues.

9. Modifications to Terms

  • HESED Edusuite reserves the right to update or modify these Terms at any time.
  • Changes become effective immediately upon posting on the Platform or website.
  • Continued use of the Platform after changes indicates acceptance of the updated Terms.
